Creator Terms & Conditions
1. Introduction & Acceptance
1.1 This agreement
These Creator Terms & Conditions (“Terms”) are a legally binding agreement between you (“you”, “your”, “Creator”) and Brief72 (“Brief72”, “we”, “us”, “our”). They cover your Brief72 account, your use of the App (clause 2) and every Campaign you take part in (together, the “Services”). Clause 42 says who we are and how to contact us.
1.2 How you accept these Terms
When you sign up, you tick a box to confirm that you agree to these Terms and the Referral Programme Terms, and that you’ve read our Privacy Policy. We record when you ticked it and which versions you accepted. If we publish a new version of these Terms, or we have no record that you’ve accepted them, the App asks you to tick the box again when you next sign in. Ticking the box is your signature of these Terms, including the licence, assignment, consents and waivers in clause 20 (clause 20.11).
1.3 What forms part of these Terms
The Referral Programme Terms (clause 17.7) and the Campaign Brief for each Campaign you apply for also form part of these Terms. Clause 8.3 explains what a Campaign Brief can and can’t do.
1.4 Our Privacy Policy
Our Privacy Policy, at brief72.com/privacy, explains how we use your personal data. It’s information for you, not part of this agreement.
If you don’t agree to these Terms, don’t sign up or use the Services.
2. Definitions
In these Terms:
- Advertiser: a brand, agency or other business that buys a Campaign from Brief72. Advertisers are Brief72’s customers. You don’t have a contract with them.
- App: the Brief72 websites and apps: brief72.com, our web apps for creators (creators.brief72.com) and for brands and agencies (brands.brief72.com), including when you add them to your phone’s home screen, and any Brief72 mobile app we offer.
- Approved Content: Content that our team has passed and the Advertiser has approved in the App, or that our team has approved on the Advertiser’s behalf under clause 11.3.
- Available Balance: the part of your Balance that you can withdraw, shown in the App as “Available to withdraw” (clause 17.2).
- Balance: the record in your account of the money Brief72 owes you (clause 17). The App and our messages call it your Brief72 balance.
- Campaign: an Advertiser’s campaign that we publish in the App for creators to apply for, together with its Campaign Brief.
- Campaign Brief: the brief and instructions for a Campaign shown in the App, including its platforms, timings and rules. It forms part of these Terms for that Campaign once you apply (clause 8.3).
- Content: any video, image, audio, caption, hashtag, comment, raw file or other material you create, upload, submit or publish for a Campaign.
- Creator Rate: the rate we use to work out creators’ Fees on a Campaign, shown on its Campaign Brief in pounds per 1,000 expected views.
- Expected Views: our estimate of the views your posts usually get on a Campaign’s platform, worked out from the views your recent posts there got.
- Fee: the fixed amount we pay you for your Content on a Campaign (clause 16).
- Minimum Live Period: how long your post must stay up (clause 12.4).
- Personal Data: has the meaning given in the UK General Data Protection Regulation (“UK GDPR”) and the Data Protection Act 2018.
- Platform: brief72.com, the App and the systems behind them.
- Posting Channel: the social media platform a Campaign runs on. At the moment these are TikTok, Instagram and YouTube.
- Tax details: the details about you that we need before paying you, listed in clause 19.2.
- Views Check: the 5-day check of your post described in clause 15.
- Working day: Monday to Friday, except bank holidays in England.
3. Eligibility & Your Account
3.1 Who can join
To have a Brief72 creator account, you must:
- be 18 or over (25 or over for age-restricted Campaigns: clause 8.1), and able to enter into a binding contract;
- live in the UK and be tax-resident there, and have a UK bank account in your own legal name, or a business account for your own business (clause 17.3);
- be allowed to provide your services in the UK as an independent business (clause 3.3);
- own and run the social media accounts you link to Brief72;
- not be subject to sanctions that stop a UK business paying you; and
- not have had a Brief72 account closed for breaking these Terms, unless we’ve agreed in writing to let you back.
3.2 Your accounts and our check
You can link TikTok, Instagram and YouTube accounts. Our team checks each account by hand before you can apply for Campaigns. We normally approve an account only if it has at least 1,000 followers and is active, public and yours. We may also turn an account down for other reasons, for example signs of bought followers or engagement, or content that isn’t suitable for brands. We’ll tell you if we do. Until one of your accounts is approved, you can set up your profile and add or change your accounts in the App, but you can’t see Campaigns or use the rest of the App. Once one is approved, the whole App opens for you, and it stays open if an account is later turned down or removed. You can apply for Campaigns while at least one of your accounts is approved.
3.3 Your right to work in the UK
You must be allowed to provide your services in the UK as an independent business. Some immigration permissions don’t allow this: for example, some visas don’t allow self-employment. By accepting these Terms, you confirm that you’re allowed to. Tell us straight away if that changes or is due to end, and show us evidence if we ask, for example a share code from the Home Office’s online service. We may check your right to work before your first Campaign. If we ask you for evidence, we may not accept you for a Campaign until we’ve seen it.
3.4 Accurate details
Give us true and complete details, including your legal name and date of birth, and keep them up to date. Once your account or your ID is verified, you can’t change your date of birth yourself: contact us if it’s wrong. Giving false details, or someone else’s, is fraud: we may close your account (clause 33), withhold or recover the Fee for any Content affected (clause 17.5), and report it to the relevant authorities.
3.5 One account
You may have only one creator account unless we agree otherwise in writing. Duplicate, shared or impersonating accounts are a serious breach of these Terms.
3.6 Our decision
We may refuse an account, or ask for more checks, at any time. A person in our team makes that decision, and we’ll tell you why, unless we can’t (for example because it would affect a fraud investigation). You can ask us to look at it again (clause 31).
3.7 Account owner
The person whose email address the account was opened with is its owner, and is responsible for everything done on it.
4. Account Security
You’re responsible for:
- keeping your login details, and any device you use to access the Services, secure and confidential;
- all activity on your account, whether or not you authorised it, unless it happened because of a security failure on our side;
- signing out of the App on shared or public devices; and
- telling us straight away, at [email protected], if you think someone else has used your account or knows your login details.
We’re not liable for losses caused by someone using your account because you didn’t keep your login details secure. We may suspend access while we look into suspected unauthorised use.
5. Acceptable Use
This clause 5 sets out how you may use the Services. Use them only lawfully and in line with these Terms. You must not:
- use the Services in any way that breaks any law or regulation, or that is fraudulent or harmful;
- upload, share or store any Content that is unlawful, defamatory, threatening, harassing, abusive, hateful, racially or ethnically offensive, sexually explicit, obscene, pornographic or violent, or that encourages terrorism, self-harm, eating disorders or other harmful behaviour;
- upload Content that infringes anyone’s intellectual property, privacy, publicity, moral or other rights, including unlicensed music, footage, logos, trade marks, or images of people who haven’t agreed (clause 20.9);
- impersonate anyone, misrepresent your identity, age, location, audience or connections, or use a name or social media account that isn’t yours;
- use another person’s Brief72 account, or let anyone else use yours;
- introduce, upload or send any virus, ransomware, spyware or other malicious code, file or program designed to interrupt, damage or limit any software, hardware or network, or the Services (“Malicious Code”);
- try to gain unauthorised access to the Services, or to the servers, systems, networks or accounts of Brief72, any Advertiser, any creator or any Posting Channel;
- use any robot, scraper, crawler, automated script, headless browser, emulator, modified client or other automated means to access, copy, monitor or extract data from the Services;
- decompile, disassemble, reverse engineer, decrypt, modify or try to derive the source code of any part of the Services, except as far as the law allows;
- get round, disable or interfere with any security, content-protection, rate-limiting or access-control features of the Services;
- use the Services to send spam, phishing messages or chain letters, or to harvest or collect personal data about other creators, Advertisers or anyone else;
- remove, hide or alter any notices, watermarks, branding or credits in the App or in any material we give you;
- submit Content made wholly or mainly with generative AI, except as clause 14 allows; or
- use the Services in any way that could disable, overload, damage or impair them, or interfere with anyone else’s use of them.
Breaking this clause 5 is a serious breach. We may suspend or close your account (clause 33), remove Content you uploaded, and report you to the police, regulators or the platforms. Where the breach is one of the reasons in clause 17.5(b), clause 17.5 applies to the Fee for the Content concerned. Other money you’ve earned stays yours.
6. Mobile App Terms (iOS & Android)
This clause 6 applies only if we make a Brief72 mobile app available and you install it from an app store. At the moment you use the App in your web browser, and you can add it to your phone’s home screen. In this clause, the “mobile app” means a Brief72 app for iOS or Android.
6.1 Licence
Brief72 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the mobile app on a mobile device that you own or control, only for your own use of the Services in line with these Terms. All other rights are reserved.
6.2 Device requirements, networks and charges
You’re responsible for making sure your device meets the minimum requirements for the mobile app, for installing updates, and for any data, messaging, roaming or other charges from your network operator. The mobile app may not work on jailbroken, rooted, modified, emulated or unsupported devices, and we may block access from them.
6.3 Updates and changes
We may release updates, fixes, new versions and configuration changes from time to time. Some install automatically; others need you to act. If you keep using the mobile app after an update, the update applies to you. We may change or remove features at any time.
6.4 Permissions and device data
If you use a Brief72 mobile app, it may ask for access to your camera, microphone, photos and files (to upload Content) and to send notifications. You can refuse or withdraw permissions in your device settings, but some features may then not work. We handle device data (such as device identifiers, operating system, IP address and crash logs) as our Privacy Policy explains.
6.5 Push notifications
If you opt in, we may send push notifications about Campaigns, payments, deadlines and account activity. You can turn these off in your device settings.
6.6 Apple App Store: additional terms
If you download the mobile app from the Apple App Store, you acknowledge and agree that:
- these Terms are concluded between you and Brief72 only, and not with Apple Inc. (“Apple”);
- Brief72 is solely responsible for the mobile app and its content;
- Apple has no obligation to furnish any maintenance or support services in respect of the mobile app;
- in the event the mobile app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the mobile app; to the maximum extent permitted by law, Apple has no other warranty obligation in respect of the mobile app;
- Brief72 is responsible for addressing any claims by you or any third party relating to the mobile app or your possession or use of it, including (i) product liability claims, (ii) any claim that the mobile app fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection or similar legislation;
- in the event of a third-party claim that the mobile app or your possession and use of it infringes that third party’s intellectual property rights, Brief72 (and not Apple) is solely responsible for the investigation, defence, settlement and discharge of any such claim;
- you must comply with any applicable third-party terms of agreement when using the mobile app; and
- Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
You also represent and warrant that (a) you are not located in a country that is subject to a UK, US, EU, UN or other applicable government embargo, or that has been designated as a “terrorist supporting” country; and (b) you are not listed on any UK, US, EU or UN list of prohibited or restricted parties.
6.7 Google Play: additional terms
If you download the mobile app from Google Play, the Google Play Terms of Service apply between you and Google LLC. Google isn’t a party to these Terms and has no responsibility for the mobile app or its content. Brief72 is solely responsible for the mobile app and any support, warranty, claims and updates.
6.8 Open-source components
The mobile app may include open-source software. The licence terms for those components are available on request, and they apply instead of these Terms only where they conflict, and only for those components.
7. App Availability, Maintenance & Changes
We aim to keep the Services available, but we don’t guarantee that they’ll always be available or free of errors. We may suspend, withdraw, restrict or change all or part of the Services for business or operational reasons, including scheduled or emergency maintenance, security, regulatory compliance or fixing bugs. We’ll try to give notice of planned downtime where we can.
If we stop running the Services, we’ll give you at least 30 days’ notice if we can (clause 33.2), and we’ll still pay you everything we owe you (clause 33.4).
8. Taking Part in Campaigns
Each Campaign you’re accepted for is a separate contract between you and Brief72, on these Terms and its Campaign Brief. You provide your services to Brief72 as an independent business (clause 37). The Advertiser isn’t a party to that contract: you don’t have a contract with the Advertiser, and the Advertiser doesn’t pay you. We do, from our own money (clause 16.1).
8.1 Age-restricted Campaigns (betting, gaming, lottery and alcohol)
Some Campaigns promote betting, casino, gaming or lottery products from operators licensed by the Gambling Commission, or alcohol. The UK advertising rules don’t allow anyone who is, or seems to be, under 25 to play a significant role in these ads, so you must be 25 or over to take part in any age-restricted Campaign. That includes lottery Campaigns. For alcohol Campaigns, clause 13.4 sets out the rules, and we may ask you to prove your age.
You can choose not to see betting, casino, gaming and lottery Campaigns (“betting and gaming Campaigns”) in your settings. To take part in one, you must:
- confirm the betting & gaming declaration shown when you first apply, and again if we update it. In it you confirm that you’re 25 or over, that you’re not self-excluded from betting or gaming (for example with GAMSTOP), that under-18s don’t make up more than a quarter of your audience, that your content isn’t aimed at under-18s, and that you’ll follow the rules for these ads. Tell us straight away if anything in it stops being true;
- complete an ID check and an audience check by the deadline we give you (the end of the second day after you apply, or after we ask, UK time). For these, send us a photo of your photo ID, a selfie of you holding it, and a screenshot of each linked account’s audience ages. The Advertiser sees your application only once both are checked. If you don’t send them in time, your application closes automatically; while the Campaign is open, you can apply again once they’re checked;
- before you post, complete the posting checklist in the App for each platform, with the screenshots it asks for. Get any platform permission it lists, for example Meta’s gambling authorisation, or posting through the operator’s TikTok One project, and wait until our team has marked your checklist as checked;
- use the wording in the Campaign Brief, including at least the ad label, “18+” and a responsible play message. Turn on the platform’s age restrictions (at least 18+, or higher where the Brief asks and the platform allows), and link only to the operator’s websites named in the Brief;
- never feature anyone who is, or seems to be, under 25; never suggest that gambling can solve money worries or bring success, popularity or attractiveness; and don’t go live (livestream) for these Campaigns; and
- change or remove a post within 24 hours of our request, or sooner if the operator, a regulator or the law requires it (clause 12.8).
For these Campaigns you must also follow the operator’s marketing rules given in the Campaign Brief, and act as if you were bound by the Gambling Commission’s licence conditions and codes that apply to its marketing. Give us the information and evidence about your posts that the operator needs to meet its own obligations, and we’ll share it with the operator. If you break these rules, we may end your place straight away and require you to remove your posts, and clause 17.5 applies to the Fee for that Content. The operator can also end the Campaign straight away; if that isn’t because of something you did, we pay you as clause 8.7 says. While a check we’ve asked for is outstanding, we can’t approve your Content, and your Fee waits until the check is done. If the operator’s licence is suspended or ends, the Campaign stops and you must remove your posts when we ask. We’ll still pay your Fee as clause 8.7 says, including for Approved Content you haven’t been able to post.
Once your ID is verified, you won’t normally need to do this again. But we may ask you to verify your ID again at any time, for example as part of a random check, if your ID has expired, or if you look younger than your age. Until you do, you can’t take part in age-restricted Campaigns: we may hide your applications from Advertisers and release your place on a Campaign you haven’t yet delivered, and your Fee for age-restricted Content waits until the check is done. An audience check counts for 90 days; after that we ask for new screenshots.
If more than a quarter of your audience on a platform is under 18, you can’t take part in age-restricted Campaigns on that platform. The advertising regulator’s guidance treats around 100,000 or more under-18 followers across your accounts as a sign of strong appeal to under-18s. If we estimate that you have that many, you can’t take part unless our team is satisfied that you don’t appeal strongly to them.
The date of birth on your ID replaces the one on your profile. If it shows that you don’t meet a Campaign’s age requirement, your application or place on that Campaign ends. Giving false information about your age, identity or audience, or sending someone else’s ID or an edited screenshot, is fraud and a serious breach of these Terms. If you do, we may remove you from Campaigns, withhold or recover the Fee for the affected Content (clause 17.5) and close your account. We handle your ID and screenshots as clause 4A of our Privacy Policy describes: only our team sees them, and we delete ID photos within 24 hours of our decision on them.
8.2 How a Campaign works
- You choose. You decide which Campaigns to apply for, and you never have to apply for any. Each Campaign Brief shows your Fee for the video before you apply (clause 16.2). By applying, you agree to make the video for that Fee.
- The Advertiser decides. When you apply, we share your profile (including your name, city and age group), your linked accounts with their statistics and audience information, and your Expected Views (never your Fee) with the Advertiser, so it can decide. The Advertiser accepts or declines the creators we put forward. If it hasn’t answered within 2 working days, our team may accept suitable creators on its behalf, so the Campaign can start on time. We only accept you if the Campaign’s budget has room for your Fee.
- Your contract starts. When you’re accepted, your Fee is locked (clause 16.3) and your contract for that Campaign starts. We tell you in the App.
- You make and upload your video within 72 hours (clause 12.1). Our team reviews it first, then the Advertiser (clause 11).
- You post it. Once it’s approved, you post it within 48 hours, starting with the ad label, and add the link in the App (clause 12).
- We check it and pay you. We run the Views Check (clause 15), then pay your Fee into your Available Balance (clause 16.4).
8.3 What a Campaign Brief can and can’t do
A Campaign Brief can add requirements for that Campaign, for example what to say or show, tags, a competitor restriction (clause 8.5), or a longer or shorter Minimum Live Period (clause 12.4). It can’t ask you to break the law, the advertising rules or a platform’s rules; to hide that your Content is an ad; to post reviews (clause 13.3); or to give up your rights under these Terms. If part of a Campaign Brief seems to, don’t follow that part, and tell us. If a Campaign Brief and these Terms conflict in any other way, these Terms apply, unless the Campaign Brief, as we published it, expressly says it changes a clause for that Campaign.
8.4 How creators are chosen
We and Advertisers choose creators for each Campaign based on what it needs, such as the platform, the audience, the style of content and past performance. Some Campaigns have age limits because the law or the advertising rules require them, for example 25 and over for age-restricted Campaigns (clause 8.1). An Advertiser may limit a Campaign to creators of a particular sex, age or other protected characteristic only where the law allows it, for example because the Content genuinely needs it, and we check this when we review the Campaign. The App only lets you apply for Campaigns whose platforms, age and gender settings and audience rules you fit. Otherwise, decisions to turn down your application are made by people, at the Advertiser or in our team. We may replace creators who drop out, miss their time limits or fail checks, and we may turn creators down for compliance reasons. If you think you’ve been treated unfairly, tell us (clause 31). If you need an adjustment because of a disability, such as more time, tell us and we’ll do what we reasonably can.
8.5 Competitors, conduct and confidentiality
You’re free to work with other brands: there’s no exclusivity. A Campaign Brief may ask you not to promote a direct competitor of the Advertiser during the Campaign. If it does, it says so before you apply, and the restriction ends when the Campaign ends (as shown in the App), unless the Brief gives a shorter period. Don’t do anything for a Campaign that could reasonably bring the Advertiser, Brief72 or another creator into disrepute. Campaign Briefs, and anything unpublished about Advertisers, products, pricing or plans, are confidential (clause 26).
8.6 Leaving a Campaign
If you can no longer do a Campaign, tell us as soon as you can through the chat in the App or at [email protected], and we’ll release your place. No Fee is due, and there’s no penalty. The same applies if we couldn’t show your Fee when you applied and you don’t want to go ahead at the Fee we tell you when you’re accepted (clause 16.3). Once you’ve posted Approved Content, the Minimum Live Period applies (clause 12.4).
8.7 When we can close your place
We may close your place on a Campaign if:
- you miss a time limit in clause 12.1, or your last attempt isn’t approved;
- you seriously break these Terms or the Campaign Brief;
- you no longer meet the Campaign’s requirements, for example its age, ID, audience or right-to-work rules;
- the Advertiser cancels the Campaign, or decides not to go ahead with you, before your Content is Approved Content;
- we decide, at our discretion, not to go ahead with you before your Content is Approved Content: for example because of something you’ve posted, said or done, in or outside the App, or because we don’t think you’re the right fit for the Campaign or the Advertiser’s brand; or
- there’s a legal, regulatory, platform or brand-safety reason.
We’ll tell you why, and you can ask us to look at it again (clause 31). We won’t use our discretion for a reason the law doesn’t allow, such as discrimination. If the Advertiser cancels the Campaign, or we or the Advertiser decide not to go ahead with you for a reason that isn’t your fault, after you’ve uploaded your Content within your time limit and our team has passed it (or then passes it) for the Advertiser’s review, we’ll still pay your Fee, as clause 11.4 does for paused Campaigns. Before that point no Fee is due, and you’re free to apply for other Campaigns. Don’t post that Content unless we tell you it’s been approved. Once your Content is Approved Content, the Advertiser can’t take your place away: if you post it as clause 12 requires and it passes the Views Check, we’ll pay your Fee. If the Advertiser cancels the Campaign after that, there’s a genuine legal or factual problem with the Advertiser’s products or claims, or we decide at our discretion that it shouldn’t be posted, we may ask you not to post your Content, or to take it down. If we do, we’ll still pay your Fee, unless the problem is something you caused.
9. Products, Gifts & Costs
9.1 Products for a Campaign
A Campaign Brief may ask you to use a product: one you already have, one the Advertiser sends you, or one you buy. It says which before you apply.
9.2 Products sent to you
If the Advertiser is sending you a product, we’ll ask for your delivery address for that purpose, and share it with the Advertiser only to arrange delivery. The Advertiser sends the product, not Brief72. We’re not responsible for its delivery, quality or safety, or for returns, except where the law doesn’t allow us to exclude that responsibility. Unless the Campaign Brief says otherwise, you can keep the product, but don’t sell it before your Minimum Live Period ends.
9.3 Buying products
The App can’t currently pay you back for purchases. Only buy something for a Campaign if the Campaign Brief says we’ll pay you back, and how much. If it does, keep the receipt; we’ll add the agreed amount to your Fee or pay it as the Brief says. Otherwise, your costs (including products, travel and your time) are your own.
9.4 Tax on products
Products, vouchers and other things you get for a Campaign may count as income for tax. You’re responsible for any tax, duty or import charges on them, unless the Campaign Brief says otherwise.
9.5 Safety
Follow the product’s instructions and any safety guidance in the Campaign Brief. Tell us straight away if a product seems unsafe or harms you.
10. Making & Uploading Your Content
10.1 Making your Content
You decide how to make your Content, within the Campaign Brief, using your own equipment. You must:
- follow the Campaign Brief, including its format, length, talking points, required wording, tags and disclosures;
- make the Content yourself, and appear in it yourself unless the Campaign Brief says otherwise. Others may help you, for example with filming or editing, at your own cost, as long as you stay responsible for the Content and everyone involved has agreed to what clause 20.9 requires;
- only use material you’re allowed to use (clause 10.2), and only make the claims clause 13.3 allows; and
- upload it in the App as a video file, in a format and size the App accepts, within your time limit (clause 12.1).
You can have only one upload under review at a time. Our team reviews it first, then the Advertiser (clause 11). If either asks for changes and you have an attempt left, you can upload a new version (clause 12.1).
10.2 Music, sound, footage and third-party material
Don’t include any music, sound recording, voiceover, stock footage, image, graphic, font, brand asset or other material that isn’t yours, unless:
- Brief72 or the Advertiser has given it to you to use in the Campaign;
- it comes from the Posting Channel’s commercial or branded-content sound or asset library (for example TikTok’s Commercial Music Library, or Meta’s sound collection for commercial use), and you use it as that library’s terms allow; or
- you hold a written licence (including a paid stock licence) that allows its use in paid social media advertising and branded content, worldwide, for at least the Minimum Live Period.
Personal-use, free-tier or “non-commercial only” licences aren’t enough. Music in a Posting Channel’s general (non-commercial) library isn’t licensed for branded content, even though the platform lets you pick it.
If you used any third-party material that we or the Advertiser didn’t give you, tell us what it is, and about any limits on its licence, when you upload, through the chat in the App. Music from a Posting Channel’s commercial library is usually licensed only for that platform, and other licences may end after a set time. Keep written records of the licences you rely on (proof of purchase, licence terms and dates), and give us copies when we ask, before or after you post. If a Posting Channel removes your Content, mutes its sound or restricts it because of material you included without the right licence, clause 12.6 applies, and so does clause 22.
11. Content Approval: No Approval, No Fee
11.1 No approval, no Fee
No Fee is owed for any Content unless it becomes Approved Content and is then posted and checked as clauses 12 and 15 require. The only exceptions are in clauses 8.7, 11.4 and 12.8. Uploading Content doesn’t on its own give you a right to be paid.
11.2 How review works
Our team reviews your Content first, against the Campaign Brief, the law, the advertising rules, the Posting Channel’s rules, brand safety and quality, and then passes it to the Advertiser. The Advertiser approves it or asks for changes. Its reasons for asking for changes must relate to the Campaign Brief or the law, and we pass them on to you. We may also refuse Content at any stage for a legal, regulatory, brand-safety or platform reason. If your Content needs changes and you have an attempt left, you can upload a new version (clause 12.1).
11.3 If the Advertiser doesn’t reply
Once our team passes your Content on, the Advertiser has 3 working days to approve it or ask for changes. We remind it in the App and by email. If it hasn’t replied by then, we send it a final notice giving it 2 more working days. If there’s still no reply, our team may approve your Content on the Advertiser’s behalf, and that counts as the Advertiser’s approval. Our team may also approve it earlier if the Advertiser asks us to in writing. Until your Content is approved, the Advertiser can approve it, ask for changes or pause the Campaign. Your time limits don’t run while your Content is waiting for review, or while the Campaign is paused.
11.4 Regulated Campaigns, and paused Campaigns
For betting and gaming, alcohol and financial Campaigns, and any Campaign whose Brief says it’s regulated, we never approve Content on the Advertiser’s behalf: if the Advertiser hasn’t replied after its final notice, we pause the Campaign instead. An Advertiser can also ask us to pause any Campaign. If a Campaign stays paused for 10 working days, we may end it. If we do, we’ll pay you the Fee for Content you uploaded within your time limit and that our team passed for the Advertiser’s review, even though it wasn’t approved. Don’t post that Content unless we tell you the Advertiser has approved it.
11.5 Approval isn’t a compliance check
Approval by us or the Advertiser doesn’t confirm that your Content is legal or doesn’t infringe anyone’s rights. You stay responsible for what you put in it (clauses 13 and 21), and we and the Advertiser stay responsible for the claims and materials we give you.
11.6 Your costs
Your time and costs in making Content are your own, unless the Campaign Brief says otherwise (clause 9.3).
11.7 Content outside the App
Content uploaded outside the App, or posted for a different Campaign, isn’t eligible for a Fee.
12. Time Limits & Posting Your Content
12.1 Your time limits
- 72 hours to upload. Once you’re accepted, you have 72 hours to upload your video (or longer, if the Campaign Brief gives you longer). If you’re accepted before the Campaign starts, your time starts when it starts, and we’ll email you then. This upload is your first attempt.
- One more attempt. If our team or the Advertiser asks for changes, you get one more attempt, with a fresh 72 hours from when we tell you what to change. You get further attempts only if the Campaign Brief allows them, or the Advertiser or our team gives you another. The App shows how many attempts you have left.
- 48 hours to post. Once your Content is approved, you have 48 hours to post it, starting with the ad label, and to add the link in the App (clause 12.2). We’ll remind you.
- Waiting time doesn’t count. Time spent waiting for us or the Advertiser never counts against you. Your time limits don’t run while your Content is waiting for review, or while you’re waiting for a check we’ve asked for, such as an ID check.
- If you miss one. If the 72 hours pass and you haven’t uploaded anything, or your last attempt isn’t approved, your place closes and no Fee is due. If you don’t post within the 48 hours, our team is told and may close your place without a Fee. If something outside your control stops you, tell us straight away: our team can give you more time or reopen your place.
12.2 When and how to post
Post your Content only once it’s Approved Content. Don’t post, share or preview it, or any part of it, publicly before then. Within 48 hours of approval, you must:
- post it from the same verified account you uploaded it for, on the Posting Channel the Campaign is for;
- post exactly the approved video, with the caption, tags, mentions and disclosures that the Campaign Brief and clause 13 require, starting with the ad label (clause 13.2); and
- add the link to your post in the App.
12.3 If you don’t post as clause 12.2 says
No Fee is due for that Content, and we may close your place, if you post it before it’s approved (clause 16.4), or if you post a different version from the one approved, or post it from a different account, including on a different platform (clause 17.5(b)). If you posted it before approval, take it down when we ask. If you don’t post it and add the link within the 48 hours, our team may close your place without a Fee (clause 12.1).
12.4 How long your post stays up (the Minimum Live Period)
Keep your post up, public and unchanged for the Minimum Live Period: the period in the Campaign Brief or, if the Brief doesn’t give one, 6 months from the day you post it. During that time:
- keep the ad label and the other disclosures on the post;
- keep your account public, and linked to your Brief72 account;
- don’t delete, hide, archive or edit the post (except small caption fixes we agree to), and don’t make it or your account private; and
- don’t pay to promote the post yourself, or let anyone else do so, except as clause 12.9 allows.
We check your post during the Views Check (clause 15), and we may look at it again at any time during the Minimum Live Period. After the Minimum Live Period, you can leave the post up or take it down.
12.5 If your post comes down early
- During the Views Check: if your post is taken down, made private or changed, your Fee is held for our team (clause 15.2). No Fee is due if it was your doing.
- After your Fee is paid: if, before the Minimum Live Period ends, you take the post down, make it or your account private, or change it without our agreement, you must put it back within 2 days of our request. If you don’t, we may recover all or part of the Fee for that post (clause 17.5). We’ll recover only what’s fair for the loss it causes, for example the cost of replacing the views the Campaign loses, and never more than the Fee.
- For a good reason: if you need to take a post down, for example for your safety, because of harassment, or because the law has changed, tell us first, and we’ll agree a fair way forward. Taking a post down at our request (clause 12.8) never counts against you.
12.6 If the platform removes or restricts your post
If a Posting Channel removes your post, mutes its sound or restricts who can see it:
- if that’s because something in your Content or on your account breaks the law, these Terms or the platform’s rules (for example unlicensed music, a missing ad label or a banned claim), no Fee is due if we haven’t paid it yet. If we have, we may recover it only where clause 17.5 allows, and clause 22 applies to any losses; and
- otherwise (for example a platform error, or a change in the platform’s rules that isn’t your fault), it won’t count against you. We’ll pay your Fee if the readings we have show genuine views, or we may ask you to post it again if the platform allows. If you think the removal was a mistake, appeal it with the platform and tell us.
12.7 If your account is suspended or banned
If a Posting Channel suspends, restricts or bans your account before your Views Check has finished, the Fee for posts on that account is held for our team. No Fee is due for those posts if the suspension happened because you broke the platform’s rules or these Terms; otherwise clause 12.6 applies. Fees already in your Available Balance aren’t affected. You can’t take part in Campaigns on that platform until your account is back in good standing.
12.8 Changing or removing a post when we ask
You must change or remove a post within 24 hours of our request, or sooner if a regulator, a court, a gambling operator or the law requires it. We’ll ask only if:
- we reasonably believe the post breaks the law, the advertising rules, a platform’s rules or someone’s rights; or
- a regulator, a platform or a rights holder asks for it, or the Advertiser asks for it because of a genuine legal or factual problem.
If the request isn’t because you broke these Terms, you still get your Fee.
12.9 Paid promotion of your post
An Advertiser can run your post as a paid ad from your account or identity (for example TikTok Spark Ads, Instagram or Facebook partnership ads, or “whitelisting”) only through Brief72, only with your permission, and only for an extra fee that we agree with you in writing first. You can say no, and saying no never affects your Fee or your place. If you agree, we’ll agree the period with you, and you can remove the permission in the Posting Channel when it ends. Never give anyone your password or login details. We take any paid promotion we’ve agreed with you into account in the Views Check.
12.10 Each Campaign’s budget
We only accept you for a Campaign if its budget has room for your Fee (clause 8.2), so your Fee won’t be reduced because the budget runs out or because we add creators to the Campaign.
13. Advertising Rules, Disclosure & Claims
13.1 Following the rules
You’re responsible for making sure your Content, and the way you publish it, follows the law and the rules. These include:
- the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (the CAP Code), enforced by the Advertising Standards Authority (ASA);
- consumer protection law, including Part 4, Chapter 1 of the Digital Markets, Competition and Consumers Act 2024 (which replaced the Consumer Protection from Unfair Trading Regulations 2008), and the Competition and Markets Authority’s (CMA) guidance on hidden ads and fake reviews;
- the Posting Channel’s rules, for example TikTok’s branded content setting, Instagram’s paid partnership label and YouTube’s paid promotion setting;
- data protection law, where other people appear in your Content; and
- intellectual property law, including copyright, trade marks and image rights.
We and the Advertiser are responsible for our parts, for example the claims and materials we give you.
13.2 The ad label
Every post for a Campaign is an ad. You must:
- start the caption with “Ad” or “#ad”, before anything else, so that it shows before any “more” link;
- also switch on the Posting Channel’s paid partnership or branded content setting, where it has one;
- for videos, also show or say “Ad” at the start when the Campaign Brief asks you to; and
- keep the label for the whole Minimum Live Period.
Labels like “#sp”, “#spon”, “sponsored”, “gifted”, “collab” or “thanks to [brand]” aren’t enough on their own.
13.3 Claims and reviews
You may only make:
- the product claims in the Campaign Brief, which the Advertiser must be able to prove; and
- your own honest opinions, based on your genuine use of the product or service.
You must actually have used the product or service before you give an opinion on it, and you mustn’t say or suggest that you’ve used it if you haven’t. You mustn’t:
- make any other factual claims, including about health, medical results, weight loss, the environment (“green” claims), money or prices, or comparisons with other products, unless they’re in the Campaign Brief;
- present yourself as an ordinary customer, or hide or play down that you’re being paid; or
- write or post reviews or ratings of the product or the Advertiser on review sites, app stores or marketplaces (such as Trustpilot, Google or Amazon) as part of a Campaign, or in return for anything from us or the Advertiser, or ask anyone else to.
Fake reviews, and reviews that hide that someone was paid or given something, are banned under UK law.
13.4 Restricted and banned products
Only take part in a Campaign for these products if its Campaign Brief confirms how the rules are met, and follow what it says:
- Betting, casino, gaming and lottery: clause 8.1.
- Alcohol: you must be 25 or over (clause 8.1), and so must anyone shown drinking or playing a significant role, and they must look it. Don’t show drinking that isn’t responsible, and don’t take part if more than a quarter of your audience on that platform is under 18.
- Food and drink high in fat, salt or sugar: paid-for online ads for these products have been banned in the UK since 5 January 2026, unless an exemption applies (for example for smaller businesses). Don’t show an identifiable product like this unless the Campaign Brief confirms which exemption applies.
- Financial products, including investments, cryptoassets, loans, credit, buy-now-pay-later and insurance: promoting these without the approval of a firm authorised by the Financial Conduct Authority (FCA) can be a criminal offence. Only take part if the Campaign Brief confirms that the promotion has been approved by an FCA-authorised firm. Use the approved wording exactly, and don’t add your own claims, tips or opinions about returns or risk.
Products we don’t take Campaigns for: prescription-only medicines (including weight-loss injections), nicotine vapes and e-cigarettes, tobacco, and anything else that can’t legally be advertised to the public online. Don’t promote them in or alongside your Content.
13.5 If something goes wrong
If your Content breaks this clause 13, we may ask you to fix it, and you must do so within 24 hours. If it’s a serious breach of the advertising rules that you caused, we may also close your place and withhold or recover the Fee for that Content (clause 17.5), and clause 22 applies. A minor slip that you fix straight away when we ask, such as a missing tag, won’t on its own cost you your Fee.
14. AI-Generated & Synthetic Content
You must not submit Content that is, in whole or in large part, generated, voiced, performed or animated by artificial intelligence, voice-cloning, deepfake or similar technology, unless the Campaign Brief expressly allows it and you have Brief72’s written approval first. Where it’s allowed, you must (a) clearly tell viewers about the AI use where the law or the Posting Channel requires it, (b) hold all the rights you need in any training data, voices, likenesses and outputs, and (c) not show any real person without their verifiable, written consent.
You must also not use AI or similar tools to create or change the face, body or voice of any real person, including you, unless the Campaign Brief allows it and the person has agreed in writing.
15. The Views Check
15.1 What we check
When you add your post link in the App, we check the post for 5 days (the “Views Check”). We read its views and other numbers several times: about 15 minutes and 6 hours after you add the link, then once a day. We use the Posting Channel’s own data, or data services that read public posts. We look for warning signs, for example:
- the post is missing or private, or was posted from a different account;
- the ad label is missing or isn’t at the start of the caption (or, for betting and gaming, “18+” and a responsible play message is missing);
- the post went up before your Content was approved;
- views fall between checks, jump with little engagement, or are far above your usual views;
- the same post is linked to another Campaign;
- for betting and gaming, your audience is too young or an ID check we’ve asked for is outstanding; or
- there aren’t enough readings to confirm the views.
15.2 What happens next
If there are no warning signs at the end of the 5 days, your Fee goes into your Available Balance automatically. A warning sign never stops your Fee on its own: it holds it, and a person in our team reviews the post and decides. We’ll tell you it’s with our team. We aim to decide within 14 days after the Views Check ends, and we’ll tell you if it’s taking longer. We may ask you for information, such as screenshots of your post’s insights.
15.3 Our decision
After the review, we either pay your Fee in full or withhold it. We withhold it only if we reasonably conclude that the views weren’t genuine, that you posted a different video from the approved one or posted from a different account, that the post seriously broke the advertising rules in a way you caused, or that you didn’t post it, or keep it up, as clause 12 requires. If we couldn’t get enough readings for a reason that isn’t your fault, we’ll ask you for screenshots of your insights, and pay your Fee if they show genuine views. We’ll always tell you our reasons, and you can reply (clause 17.5(c)). We may also pay a Fee early.
15.4 The numbers
The numbers come from the Posting Channel or from data services, and may differ from what you see in your own app. Our team may ignore a reading it reasonably believes is wrong, or enter numbers from your insights, and we keep a record when we do. These views don’t count, and they’re a warning sign: views from accounts you control or from people you live with, bought or exchanged views, bots, and paid promotion you’ve done yourself.
15.5 If you think a reading is wrong
Tell us through the chat in the App or at [email protected]. Please do so within 14 days of the reading appearing in the App, or of our decision, so we can check it while the data is still available.
15.6 Later findings
If, after we pay a Fee, we find that the views on that post were faked or manipulated, or that you posted a different video or from a different account, we may recover the Fee within the time limit in clause 17.5(d).
16. Your Fee
16.1 Our role
You provide content creation and publishing services to Brief72, as an independent business (clause 37). Brief72 runs each Campaign and provides it to the Advertiser. Brief72 is your customer, and pays you from its own money. Advertisers are Brief72’s customers, not yours: you don’t have a contract with any Advertiser, the Advertiser never pays you, and Brief72 doesn’t receive or hold money on your behalf. Our duty to pay you a Fee you’ve earned doesn’t depend on any Advertiser paying us.
16.2 Your Fee is shown before you apply
Each Campaign Brief shows the Creator Rate. Once we know your Expected Views on the Campaign’s platform, the Brief also shows your Fee for the video, worked out from your Expected Views and the Creator Rate. That’s the Fee you agree to when you apply. If your Expected Views change before you apply, the App shows you the new Fee first.
16.3 Your Fee is fixed
If you’re accepted, your Fee is locked at the amount you agreed to when you applied. The views your post actually gets don’t change it, up or down, and nor do later changes to the Creator Rate or to your Expected Views. If we couldn’t show you a Fee when you applied (for example because your Expected Views were still being worked out), our team sets your Fee in the same way, and we tell you it when you’re accepted. If you don’t want to go ahead at that Fee, tell us before you upload and we’ll release your place, with no penalty (clause 8.6).
16.4 You’re paid if you do your part
If you do your part, you get your Fee. Doing your part means:
- your Content is Approved Content;
- you posted it within 48 hours of approval (or later, if our team agreed), from the same account, exactly as approved and starting with the ad label, and added the link in the App (clauses 12.2 and 13.2);
- you keep it up as clause 12.4 requires; and
- its views are genuine: the Views Check has passed, or our team has paid the Fee after reviewing it (clause 15).
We then pay your Fee in full into your Available Balance. It’s paid in full or not at all: it isn’t reduced because your post gets fewer views, and it isn’t paid in part. We make no deductions from it, apart from amounts clause 17.5 allows us to recover. We also pay your Fee, without waiting for a Views Check, in the cases clauses 8.7 and 11.4 describe: for example, if we ask you not to post Approved Content, if the Advertiser cancels after our team has passed Content you uploaded on time, or if we end a paused Campaign.
16.5 Advertisers can’t take your Fee away
Once you’ve done your part, nothing an Advertiser does afterwards, such as a chargeback, asking for a refund, cancelling or paying us late, takes your Fee away. Brief72 carries that risk.
16.6 If you don’t do your part
No Fee is due for that Content, and we may offer your place to another creator.
16.7 No promise of work or earnings
Brief72 doesn’t promise you any amount of work, or any level of Campaigns, views, virality or income. What you earn depends on the Campaigns available, on your applications being accepted, on your Content, and on things outside our control, such as platform algorithms and audience behaviour.
17. Your Balance, Withdrawals & Payment Terms
17.1 What your Balance is (and isn’t)
Your Balance is an internal record kept by Brief72 of the money Brief72 owes you for your Fees and referral rewards, less withdrawals and any amounts we’re entitled to recover under clause 17.5. It exists only to record that debt, and to let you withdraw what’s owed to a bank account in your own name.
Your Balance:
- is NOT a bank account, deposit account, savings account or current account, and isn’t protected by the Financial Services Compensation Scheme (FSCS);
- is NOT “electronic money”, an e-wallet or an e-money account within the meaning of the Electronic Money Regulations 2011 (and isn’t issued on receipt of funds from you);
- is NOT a payment account or payment service within the meaning of the Payment Services Regulations 2017;
- is NOT a stored-value instrument, prepaid account, voucher or money-remittance facility;
- can’t be used to pay anyone else, to transfer value to another creator or user, or to buy anything;
- can’t be funded by you: only Brief72 adds money to it, and you can’t pay money into it;
- doesn’t earn interest (this doesn’t affect any interest the law gives you if we pay you late); and
- is a record of an unsecured debt: money Brief72 owes you under these Terms.
17.2 What your Balance shows
- Available to withdraw (your “Available Balance”): Fees we’ve paid you, plus referral rewards, less withdrawals and any amounts recovered under clause 17.5. This is the only amount you can withdraw.
- Withdrawal requested: amounts you’ve asked to withdraw that we haven’t paid yet (clause 17.3).
- Pending: the Fees agreed for Campaigns you’re on that we haven’t paid yet. They aren’t in your Available Balance. We pay each one when you’ve done your part (clause 16.4), and some may never be paid, for example if you don’t upload or post, or the Views Check finds a problem.
- Total earned: the total of the Fees and referral rewards you’ve earned on Brief72.
Your Balance also lists each payment into and out of it, and your payout history shows each withdrawal.
17.3 Withdrawing
You can ask to withdraw any amount up to your Available Balance at any time in the App. There’s no minimum. The amount leaves your Available Balance straight away and shows as “Withdrawal requested” until it’s paid or rejected. Before your first withdrawal, you need:
- tax details that our team has checked (clauses 18 and 19); and
- bank details for a UK bank account in your own legal name, or a business account for your own business: you as a sole trader, or a company you own or run and are authorised to act for. If you choose a business account, you confirm in the App that it belongs to your own business and that you’re allowed to use it to receive payments from Brief72, and a payment into it is a payment to you. If it’s the account of a company you work through, give us that company’s details as your tax details (clause 19.2). The name on the account should match your tax details (or your business); if it doesn’t, our team checks it before you can withdraw.
We won’t pay into anyone else’s account, or into a joint account unless you’re named on it.
17.4 When and how we pay
Our team pays withdrawals by bank transfer from Brief72’s business bank account. We aim to pay within 7 days of your request, and we’ll pay within 30 days unless a check under clause 18 or a hold under clause 17.5 applies, in which case we’ll tell you. Brief72 doesn’t provide you with a payment service or an e-money service: paying into your bank account is Brief72 paying what it owes you, as any business pays its contractors. The bank transfer itself is a service our bank provides to Brief72.
Each withdrawal shows one of these statuses in your payout history:
- Request pending: we’ve received your request.
- Paid: we’ve sent the bank transfer. We’ll notify you that it’s been settled, and the App shows the payment reference.
- Rejected: we couldn’t send the transfer, for example because the bank details are wrong, the account is closed, or our bank’s checks stopped it. The money goes back to your Available Balance, and the App shows our reason. You can correct your details and ask again.
If your bank returns a payment after we’ve sent it, we’ll put the money back in your Available Balance and tell you, and that withdrawal shows as Rejected. Once your details are right, we can send it again, or you can ask again. If three or more of your withdrawals are rejected in any 12 months, we may pause withdrawals while we check your details or, where it suggests fraud, suspend your account (clause 33).
Once a withdrawal is paid to the bank details you gave us, we’ve paid that amount, even if the details were wrong. If the money hasn’t arrived within 5 working days, check with your bank first. If your bank can’t trace it, email [email protected] with the payment reference, and we’ll ask our bank to investigate. We can’t guarantee to recover money sent to wrong details that you gave us.
17.5 Holding, withholding and recovering a Fee
(a) Holds. We may hold a Fee while our team reviews a post with warning signs (clause 15.2). We may also hold a Fee or a withdrawal while we look into a reasonable suspicion of one of the reasons in (b), while we check your tax, ID or bank details (clause 18), or where the law, a regulator or our bank requires it. We’ll tell you, unless the law stops us. For these other holds, we aim to finish within 30 days. A hold isn’t a decision against you: a person in our team decides what happens next.
(b) The only reasons we withhold or recover a Fee. We may withhold a Fee, or recover one we’ve already paid, only for the Content concerned, and only for these reasons:
- fraud or fake views, for example bought, exchanged or bot views, or false details;
- deleting the post, or making it or your account private, before the Minimum Live Period ends (and then only as clause 12.5 allows);
- posting a different video from the approved one, or posting it from a different account; or
- a serious breach of the advertising rules that you caused (clause 13.5).
If you don’t do your part in another way (clause 16.4), for example by posting before approval or not posting at all, no Fee becomes due, rather than one being withheld.
(c) Reasons and a chance to reply. We’ll always tell you the amount and our reasons, and give you a chance to reply. Before we recover a Fee we’ve already paid, we’ll give you 14 days to reply. If we withhold a Fee after the Views Check, you can reply within 14 days of our decision. Either way, we’ll consider what you say and look at it again, and you can also use clause 31.
(d) Time limit. We can recover a Fee only within 12 months of paying it, unless you acted fraudulently.
(e) How we recover money. We take it from your Available Balance first, and then from Fees as they’re paid. If your Balance goes below zero, the shortfall is money you owe us. We’ll take it from your future earnings, and if that hasn’t covered it within 60 days, we may ask you to pay it back within 30 days.
(f) Mistakes. We may also correct a clear mistake in a payment, such as the same Fee paid twice. We’ll tell you first, and clause 17.5(e) applies.
(g) Not because of Advertisers. We never take money from you because an Advertiser didn’t pay us, asked for a refund, cancelled, charged back a payment or paid late.
(h) No forfeiture. We never keep money that’s owed to you, and we don’t take money from you as a penalty. A problem with one piece of Content doesn’t affect your Fees for other Content. Referral rewards are refused or reversed only under the Referral Programme Terms (clause 17.7).
17.6 Currency and charges
Fees, balances and withdrawals are in pounds sterling. We don’t charge for withdrawals. If we ever introduce a charge, we’ll tell you at least 14 days before (clause 35), and it won’t apply to withdrawals you’ve already asked for.
17.7 Referral programme
If you take part in the Brief72 referral programme, the Referral Programme Terms apply and form part of these Terms. In short:
- Who counts: someone new to Brief72 (they mustn’t have, or have had, an account) who joins with your invite link or code, or adds your code within 7 days of joining. Each person can only be referred once, and you can’t refer yourself or another account you control.
- When it qualifies: a creator you invite qualifies when our team has approved them and their first paid Campaign is finished (their Fee paid after the Views Check) within 30 days of joining. A brand you refer qualifies when its first Campaign, of at least the minimum budget shown in the App, is approved and paid for within 30 days, and your reward is paid once that Campaign has closed. You need to have been approved by our team by the same deadline too, but you don’t need to have done a Campaign yourself. Time we spend on our own checks doesn’t count against you.
- Checks and rewards: our team approves each referral, then its payout. Rewards are paid by Brief72 from its own money, never out of anyone’s Fee. They’re added to your Available Balance and can be withdrawn under clause 17.3. Each referral keeps the reward amounts, the minimum brand budget and the other rules in place when the person joined.
- Sharing: if you post your link publicly, start the post with “Ad” and say you get a reward. Don’t send spam or make claims about what people will earn.
- Refusing and reversing: we may refuse a referral or a reward, or reverse a reward, only for the reasons in the Referral Programme Terms. We’ll email you our reasons, and you can ask for a review within 14 days. A reversal only takes back the reward of the person whose conduct caused it, and only within 12 months of paying it (from your Available Balance, as clause 17.5(e) describes). We’ll also tell you if a referral runs out of time.
- Changes: we’ll give at least 30 days’ notice before changing the programme in a way that’s worse for you, unless we must act sooner because of the law, a regulator, a security problem or fraud. Changes never apply to referrals already made.
- Tax: rewards are taxable income, like your other earnings on Brief72 (clause 19).
18. Identity, Bank & Fraud Checks
Before your first withdrawal, we check your tax details (clause 19), and that the account holder’s name you give for your bank account matches them (or, for a business account, your business). We may also use a bank-checking service to confirm that the account exists. If something doesn’t match, our team reviews it, and we may ask you to confirm your details again or to send a document, such as photo ID or a recent bank statement. This is separate from the ID check for age-restricted Campaigns in clause 8.1.
Brief72 must comply with UK law on fraud and financial crime, including the Proceeds of Crime Act 2002 and the UK sanctions regime, and with our bank’s requirements. We may delay or pause a payment where the law requires it, where we can’t verify your identity or your bank account, or where we have reasonable grounds to suspect fraud, sanctions exposure or other financial crime, and we may report suspected crime to the relevant authorities. Money we owe you stays yours while we do (clause 17.5(h)).
19. Tax & Platform Reporting
19.1 Your responsibility
You’re responsible for declaring and paying all taxes and similar amounts on what you earn through the Services, including UK income tax, National Insurance contributions and VAT (if you’re or become VAT-registered). As an independent business, you won’t get a payslip, and Brief72 doesn’t deduct tax or National Insurance from your Fees (except as clause 19.5 says). Being reported to HMRC doesn’t by itself mean you owe tax.
19.2 Your tax details
We ask for your tax details when we first pay a Fee into your Available Balance, and you need to give them to us in the App before your first withdrawal. Keep them up to date. If you’re paid as an individual, we need:
- your full legal name;
- your date of birth;
- your home address in the UK (where you normally live, not a PO box or work address);
- your National Insurance number (if you don’t have one yet, tell us why in the App); and
- the bank account details we’ll use to pay you (clause 17.3).
If you work through your own company, give us instead the company’s registered name, company number and registered office, the name of the person who runs it, and a bank account in the company’s name. You still sign up, and do the work, yourself (clause 20.12). We’ll ask you to confirm your details from time to time, and each time you confirm that they’re correct.
19.3 Reporting to HMRC
UK law requires Brief72, as a digital platform operator, to collect and check this information and to report creators’ earnings to HMRC every year, under the Platform Operators (Due Diligence and Reporting Requirements) Regulations 2023.
There’s no minimum: if we credit earnings to your Balance during a calendar year, by 31 January of the following year we’ll send HMRC your tax details, the bank account we pay you into, the amount credited to you in each quarter, the number of Campaigns you were paid for, and any fees or taxes we took (we don’t take any). HMRC may share this with the tax authority where you live. We’ll give you a copy of the same information by the same date, in the App. If you close your account during the year, we’ll email you a summary of what we’ll report. We keep these records for as long as the law requires (5 years after the end of the year they relate to).
19.4 If we don’t have your tax details
If you don’t give us your tax details, or we can’t check them, your earnings stay safe in your Balance, but you can’t withdraw them until you do. We’ll remind you, and if you still haven’t given them to us after two reminders, we may pause your ability to join new Campaigns. You can still sign in and see your balance. If you’d like to leave without giving us your tax details, contact us (clause 27).
19.5 Withholding tax
If the law requires us to withhold tax from a payment to you, we’ll withhold it and pay it to the tax authority, and we won’t increase the payment to make up for it. We’ll tell you when this happens, and give you reasonable supporting documents.
19.6 VAT
Your Fee includes any VAT that may be due on it. If you’re registered for VAT, tell us before you apply for a Campaign, and we’ll agree with you in writing how VAT invoices will work.
20. Rights in Your Content
20.1 While your Content is being reviewed and checked
From when you upload Content until the rights in it pass to Brief72 under clause 20.2, you give Brief72 a free, exclusive, worldwide licence to store, copy and review it, to show it to the Advertiser in the App, and, once it’s Approved Content, to use it, and let the Advertiser use it, for the Campaign as the Advertiser Terms allow. “Exclusive” means that during that time you mustn’t use the Content anywhere else, or let anyone else use it, except to post it as clause 12 says. If the rights never pass to us, this licence ends when your place on the Campaign closes, except that we may keep copies to keep records of the Campaign and to deal with any complaint or claim.
20.2 The rights pass to Brief72 when we pay you
When we pay the Fee for a piece of Content into your Available Balance, you assign to Brief72, with full title guarantee, all copyright, performers’ property rights, database rights and other intellectual property rights in that Content, present and future, worldwide, for the full term of those rights, including any extensions and renewals. This is a present assignment, made now, that takes effect at that moment. It includes an assignment of future copyright under section 91, and of future performers’ property rights under section 191C, of the Copyright, Designs and Patents Act 1988 (“CDPA”). It doesn’t include rights in material you don’t own, such as music licensed from a Posting Channel’s library (clause 10.2).
Brief72 may pass these rights to the Advertiser (as the Advertiser Terms say) and license them to others for the purposes in this clause 20. Once the rights have passed, they stay with Brief72, or whoever we pass them to, even if we later recover the Fee under clause 17.5.
20.3 If the rights don’t pass
If we never pay a Fee for a piece of Content (for example because it isn’t approved, or your place closes before you post), the rights in it stay with you, and neither we nor the Advertiser will use it, except to keep records of the Campaign and to deal with any complaint or claim. Before you use it publicly yourself, remove the Advertiser’s brand and products, and anything confidential from the Campaign Brief.
20.4 Performers’ consents
You consent to Brief72, the Advertiser and their successors, assignees and licensees doing anything that needs a performer’s consent under Part II of the CDPA in relation to your performances in the Content, so that the Content can be used as this clause 20 allows. The consent is worldwide, lasts for the full term of the rights, and needs no payment beyond your Fee. You must also get the written consent of anyone else who performs in your Content (clause 20.9).
20.5 Your name, voice, image and likeness
You consent to Brief72 and the Advertiser using your name, handle, voice, image and likeness, as they appear in the Content, with the Content, in any media, to promote the brand and products in the Campaign Brief, and for Brief72’s own purposes in clause 20.7. Once the Advertiser owns the Content, it can edit it and repurpose it in any media for that brand and those products. The Advertiser Terms don’t allow the Advertiser to:
- use the Content, or your name, voice, image or likeness, for a different product or brand;
- suggest that you endorse anything beyond what you actually said in the Content;
- change or use the Content in a way that’s derogatory to you;
- use your face, body or voice to create an AI clone or any other synthetic version of you; or
- present the Content as a customer review or testimonial.
Any wider use needs a separate written agreement with you, with an extra fee, which we’ll arrange. If you think an Advertiser has broken these limits, tell us and we’ll take it up with them. You can also enforce these limits against the Advertiser yourself (Advertiser Terms, clause 36.4).
20.6 Moral rights
As far as the law allows, you unconditionally and irrevocably waive your moral rights in the Content, in favour of Brief72, the Advertiser and their successors, assignees and licensees. This covers your rights as an author under Chapter IV of Part I of the CDPA (including the right to be identified and the right to object to derogatory treatment), your rights as a performer under Chapter 3 of Part II of the CDPA (sections 205C to 205N), and any similar rights anywhere else. This means the Content may be edited, cropped, translated, dubbed, combined with other material, or used without naming you, within the limits in clause 20.5.
20.7 Brief72’s own use
As well as passing the rights to the Advertiser, Brief72 keeps the right to use Approved Content whose rights have passed to us, with your name, handle, image and likeness as they appear in it:
- to run and improve the Services;
- in its own marketing, such as its website, presentations, social media accounts, case studies and awards entries, unless the Advertiser asks us in writing not to (if it does, we’ll stop new uses within a reasonable time); and
- to keep records and meet the law.
We’ll use age-restricted Content only where the advertising rules allow. These rights continue after the rights in the Content pass to the Advertiser.
20.7A Case studies and your profile
We like to show brands and the public what creators achieve on Brief72, for example on our website, in presentations, on our social media accounts, and in case studies and awards entries. You allow Brief72 to use, for this:
- your creator name and handles, and your profile photo, as they appear on the accounts you’ve linked;
- public information from those accounts, such as your bio, your follower numbers, the platforms you use and the kind of content you make;
- the town or city you’ve given us (never your address) and your content categories;
- your Campaigns’ results, such as views, likes, comments, shares, saves and watch time, and the audience figures from your insights for those Campaigns, shown as totals or percentages (for example “68% of viewers were aged 18 to 34”);
- anything you tell us for a case study, such as a quote, once you’ve agreed the wording with us; and
- your Approved Content, as clause 20.7 allows.
We won’t use your legal name (unless it’s the name you use as a creator), your contact details, your date of birth or exact age, your bank or tax details, anything from your ID or age checks, or your Fees and earnings. We won’t suggest that you endorse anything you haven’t promoted, and we’ll only use age-restricted Campaigns where the advertising rules allow.
You can stop us using you in case studies at any time: turn off “Case studies” in the App’s Settings, or email [email protected]. We’ll stop new uses straight away, and remove you from our website and our own social media accounts within thirty (30) days, but we can’t recall printed material or remove copies that other people have shared. Saying no never affects which Campaigns you can apply for, or your Fees. Our Privacy Policy explains how we handle this data (clause 27).
20.8 Your portfolio
Brief72 gives you a free, non-exclusive, personal licence to show your Approved Content, as you posted it, in your own portfolio and showreel and on your own social media accounts, to promote yourself as a creator, as long as:
- you don’t edit out the ad label or the brand;
- you don’t claim to own it, or suggest a new or continuing partnership with the Advertiser;
- you don’t pay to promote it;
- for age-restricted Content, you show it only with the Advertiser’s written consent, and only to an audience restricted by age as clauses 8.1 and 13.4 require; and
- you take it down within 7 days if we ask you to for a good reason (for example a legal, regulatory or reputational reason, or the Advertiser’s reasonable request).
You can’t transfer this licence. Your original post stays on your account: after the Minimum Live Period, you can leave it up or take it down.
20.9 Other people and other material
Before you upload, you must have:
- the written consent of everyone who can be identified in your Content (including people in the background where they’re recognisable), covering what this clause 20 allows, including any performer’s consent. Use our release form if we give you one;
- for anyone under 18: they mustn’t appear at all in Content for age-restricted Campaigns. In other Content, they may appear only where the Campaign Brief allows it, with the written consent of a parent or guardian and any licence the law requires; and
- permission to film anywhere that isn’t a public place, and licences for any music, footage, logos, artwork or other material that isn’t yours (clause 10.2).
Keep these records, and give us copies when we ask. The assignment in clause 20.2 includes the benefit of these consents and licences, as far as they can be transferred. Where people appear in your Content, you’re responsible, as an independent controller, for handling their personal data lawfully (clause 27).
20.10 Further assurance
When we reasonably ask, and at our reasonable cost, you’ll sign any further documents and give us any information we reasonably need to confirm, register, enforce or transfer the rights in this clause 20, in any country.
20.11 How you sign
When you tick the box to accept these Terms (clause 1.2), you sign them. You agree that ticking the box is your signature, in writing, of this clause 20: the licence, the assignment, the performer’s consents and the moral rights waivers, including for sections 87, 90(3), 91, 92, 191B, 191C and 205J of the CDPA. It covers all the Content you upload while these Terms apply.
20.12 If you work through your own company
If you work through your own company, the company gives the licence and the assignment in clauses 20.1 and 20.2, and you also give them for any rights you hold personally. You give the consents and waivers in clauses 20.4 to 20.6 personally. When you tell us that you work through your company, you confirm that you’re authorised to accept these Terms for it, and the company is bound by them too.
21. Your Promises
You promise Brief72 and the Advertiser that:
- the information you give us when you sign up, and while you use the Services, is true, complete and not misleading, and will stay so;
- you can enter into these Terms and give the rights, consents and waivers in clause 20, and nothing else you’ve agreed (for example with an agent, a management company or another brand) stops you;
- you’re allowed to provide your services in the UK as an independent business (clause 3.3);
- your Content is your own original work or properly licensed, and doesn’t infringe anyone’s intellectual property, privacy, publicity or other rights;
- you’ve genuinely used each product or service you give an opinion on, and your opinions are honest (clause 13.3);
- your Content follows the law, the advertising rules and the Posting Channel’s rules, except where a problem comes from material or instructions that we or the Advertiser gave you;
- your Content contains no Malicious Code and no hidden material;
- for age-restricted Campaigns, your declaration (clause 8.1) is true; and
- you’ll comply with the Bribery Act 2010, the Modern Slavery Act 2015, sanctions laws and all other laws that apply to you in connection with the Services.
22. Indemnity
22.1 What you cover
You’ll compensate Brief72 and the Advertiser (and their directors, staff and contractors) for the losses, liabilities, fines, claims, costs and reasonable legal fees they suffer because of:
- your breach of these Terms, a Campaign Brief or the law;
- a claim that your Content (apart from material we or the Advertiser gave you) infringes someone’s rights, or breaks the law or the advertising rules; or
- any tax, National Insurance or similar amount due on payments to you.
22.2 What you don’t cover
You don’t have to compensate anyone for losses caused by material, claims or instructions that we or the Advertiser gave you, where you followed them, or by our or the Advertiser’s own breach or negligence.
22.3 Claims by other people
If we want to rely on this clause 22 for a claim made by someone else, we’ll tell you promptly, and we’ll consider your views before we settle it. We’ll take reasonable steps to keep the losses down.
23. Fraud, Abuse & Platform Manipulation
Without limiting clause 5, you must not:
- artificially inflate views, likes, followers, comments, shares, saves or engagement (including with bots, click farms, paid view services, view-exchange schemes or incentivised traffic);
- use automation, scripts, emulators, multi-account farms or fake accounts;
- submit Content that has already been used in another Campaign, or pass off another creator’s work as your own;
- post Content from accounts that break the Posting Channel’s rules;
- tamper with numbers, screenshots, dashboards or invoices;
- get round any payment, verification, withdrawal or fraud-prevention controls; or
- work with other creators, Advertisers, staff or anyone else to manipulate the Platform.
If we reasonably suspect fraud, abuse or manipulation, we may suspend your account while we investigate (clause 33.1), hold your Fees and withdrawals (clause 17.5(a)), withhold or recover the Fees for the Content concerned (clause 17.5(b)), close your account (clause 33), and share information with the platforms, our bank, the Advertiser concerned (only as far as it needs it for the Campaign), and the police or other authorities. We may act without notice where we need to, but we’ll always tell you our reasons and give you a chance to reply, unless the law stops us (clause 17.5(c)). Other money you’ve genuinely earned stays yours, less only what clause 17.5 allows.
24. Behaviour & Anti-Harassment
Behave professionally and respectfully when you deal with Brief72’s team, Advertisers, other creators and members of the public through the Services. We have a zero-tolerance policy for:
- harassment, bullying, threats or abusive language;
- discrimination on the grounds of any protected characteristic under the Equality Act 2010 (including age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex and sexual orientation);
- sexual harassment of any kind;
- doxing, stalking, or sharing private information without consent; and
- any conduct intended to exploit, intimidate or unfairly disadvantage another person.
Breaking this clause is a serious breach. We may suspend or close your account (clause 33), and report serious conduct to the relevant authorities. Money you’ve earned stays yours (clause 33.4).
25. Anti-Bribery, Anti-Corruption & Sanctions
You must comply with all applicable anti-bribery, anti-corruption, anti-money-laundering, counter-terrorist-financing, modern slavery and sanctions laws, including the Bribery Act 2010, the Proceeds of Crime Act 2002, the Modern Slavery Act 2015, the Sanctions and Anti-Money Laundering Act 2018, and any restrictions imposed by the UK, US, EU or UN. You must not directly or indirectly offer, give, request or accept any improper financial or other advantage in connection with the Services.
26. Confidentiality
Keep confidential all non-public information you receive through the Services or for a Campaign. This includes Campaign Briefs, unreleased products, pricing, performance data, our internal tools, the identities of Advertisers that haven’t been announced, and anything marked confidential or that you’d reasonably understand to be confidential. Use it only to do the Campaign. This continues after your account closes. It doesn’t stop you:
- sharing information that’s already public (unless it became public because you broke this clause);
- sharing it with your professional advisers, such as an accountant or a lawyer, who keep it confidential;
- doing what the law, a court or a regulator requires;
- reporting a possible crime or wrongdoing to the police, to a regulator (such as the ASA, the CMA, the Information Commission or the Gambling Commission), or to a lawyer; or
- making any other disclosure the law protects.
26A. Working with Advertisers You Meet Through Brief72
You’re free to work with anyone, including Advertisers you meet through Brief72: there’s no exclusivity. But on a Campaign you’re taking part in, you mustn’t take payment or any other reward from the Advertiser directly (apart from products for the Campaign under clause 9), or agree with it to do the Campaign’s work outside Brief72. If an Advertiser asks you to work with it outside Brief72 while you’re on one of its Campaigns, please tell us. The Advertiser Terms limit what Advertisers can do; they don’t limit you.
27. Privacy & Data Protection
Brief72 handles your Personal Data as our Privacy Policy, at brief72.com/privacy, explains: what we collect, why, the legal bases we rely on, how long we keep it, and your rights under the UK GDPR and the Data Protection Act 2018.
Where you handle other people’s Personal Data (for example, people who appear in your Content), you do so as an independent controller, and you must comply with data protection law.
To close your account and have your personal data deleted, use Delete account in the App’s settings, or email [email protected] from your account’s email address. If we still owe you money (your Available Balance, a withdrawal on its way, or a Fee still to come from a Campaign you’re on), we’ll ask you to withdraw it first, and you can close your account once it’s been paid to you (if you asked us by email, we’ll close it then). If you’re on a Campaign you haven’t posted for, you can leave it (clause 8.6). Until then, you can ask us to stop using your data for anything we don’t need to pay you, and to stop all marketing.
Otherwise we close your account straight away and, within 28 days, delete your personal data, except what we must, or are allowed to, keep, for as long as our Privacy Policy says. That includes your tax records (clause 19), your payment and Campaign records and the terms you accepted, and what’s needed for Content that’s still live, or that we or an Advertiser hold rights in (clause 20).
28. Third-Party Posting Channels
The Services rely on Posting Channels and their systems. Your relationship with each Posting Channel is governed by its own terms. We’re not responsible for outages, limits on their systems, demonetisation, content removal, account bans, algorithm changes or anything else a Posting Channel does, except as clauses 12.6 and 12.7 say.
To check posts, we read public information about your posts and accounts, either directly or through data services, and for YouTube we use YouTube API Services. By using the App with a YouTube account, you agree to be bound by the YouTube Terms of Service. You must keep your accounts on each Posting Channel in good standing, public, and linked to your Brief72 account throughout the Minimum Live Period.
29. Platform Intellectual Property
All intellectual property rights in the Platform, and in the Brief72 name, logo, designs, software, databases and documentation, are owned by Brief72 or its licensors. Nothing in these Terms transfers any of those rights to you. You may not use Brief72’s trade marks or branding without our written consent, except where a Campaign requires you to display credits.
30. Reporting & Notice-and-Takedown
If you believe Content on the Services infringes your rights or breaks these Terms or the law, email [email protected] with: (a) where the Content is; (b) what your complaint is and which rights are affected; (c) your contact details; and (d) a statement that the information is accurate and that you’re authorised to act. We’ll review reports promptly and may remove Content, suspend accounts and take other action as appropriate. False or malicious reports may lead to your account being suspended.
31. Support, Complaints, Response Times & Escalation
31.1 How to contact us
If you have a question, complaint or dispute, contact us through the chat in the App (our team replies by email) or email [email protected]. For data protection matters, email [email protected]; for legal or formal matters, email [email protected]. Tell us what has happened, what outcome you’d like, and include any evidence (screenshots, payment references, dates).
31.2 Raising matters promptly
Please raise matters as soon as you can, so we can look into them while the information is still available. For example, tell us about a reading in the Views Check within 14 days (clause 15.5). Raising a matter later doesn’t take away your rights, and the only time limits on legal claims are in clause 31.6.
31.3 Our response times
Our standard response times for matters you raise are:
- first response: within 3 working days;
- an answer, or a resolution, for most matters: within 7 working days; and
- investigations involving payouts, suspected fraud, complex compliance matters, third-party checks or a Posting Channel: up to 14 working days, with updates if we need longer.
We may need longer in exceptional circumstances (for example under clause 34, while we wait for information from someone else, or at unusually busy times). If so, we’ll tell you.
31.4 Asking for a person to look again, and escalation
Some steps in the App are automatic, for example closing a place when a time limit passes, or holding a Fee when the Views Check finds a warning sign. You can always ask for a person in our team to look again at anything the App did automatically, and at any decision we make about you.
If you’re not satisfied with our first response, you can escalate:
- Tier 1, our team: the chat in the App or [email protected];
- Tier 2, senior review: write to [email protected] asking for the matter to be escalated, and explain what’s unresolved. Where possible, a senior member of our team who hasn’t been involved so far will look at it; and
- Tier 3, director-level review: if Tier 2 hasn’t resolved it, write to [email protected] asking for a director-level review. A director of Brief72 will personally review the file and reply to you in writing.
Our decisions under this process don’t affect your right to bring a claim (clause 41) or to raise a matter with an outside body (clause 31.5).
31.5 External recourse
Nothing in these Terms stops you raising a matter with an appropriate outside body. The most relevant are:
- for personal data and privacy matters: the Information Commission, known as the ICO (ico.org.uk; helpline 0303 123 1113);
- for advertising and disclosure matters: the Advertising Standards Authority (asa.org.uk) or the Competition and Markets Authority (gov.uk/cma);
- for unfair commercial practice complaints: your local Trading Standards service (through gov.uk); and
- for unpaid earnings or other contract disputes within the small claims limit: Money Claim Online (on gov.uk); for larger or more complex disputes, the courts (clause 41).
31.6 Time limits for legal claims
If you want to dispute a payment we’ve made to you, you must do so within 2 years of the payment. Nothing in these Terms shortens the time you have to claim a Fee, a referral reward or a withdrawal that we owe you and haven’t paid: you can claim those at any time the law allows (clause 32). Any other claim can be brought within the time the law allows.
32. Inactive Accounts & Your Balance
Your account is listed as inactive if you haven’t signed in or used it for 30 days. To make it active again, just sign in: your balance and everything else will be there.
We never charge inactivity fees, and we never keep money that’s owed to you. If we hold checked bank and tax details for you, we may pay your whole Available Balance into your bank account. We’ll tell you before we do.
If an account has no balance and nobody has signed in to it for 24 months, we may close it, after emailing you at least 30 days before. An account with a balance stays open for you to come back to, and we’ll remind you about the balance at least once a year. If we ever close an account while money is still owed to you, it remains yours: contact us at any time to claim it, and we’ll ask you to confirm your identity and bank details.
33. Suspension & Termination
33.1 Suspension
We may suspend your account, or part of it (such as applying for Campaigns or withdrawing), while we investigate, if:
- we reasonably suspect a serious breach of these Terms, or fraud;
- there’s a risk to an Advertiser, another creator, the public or us; or
- the law, a court, a regulator or our bank requires it.
We’ll tell you, and why, unless the law or an investigation stops us for a while, and we’ll lift the suspension as soon as we can. A suspension never takes away money we owe you (clause 33.4).
33.2 Closing your account
We may close your account:
- (a) if you seriously or repeatedly break these Terms;
- (b) if the law, a court, a regulator or our bank requires it;
- (c) if we stop running the Services (if we can, we’ll give you at least 30 days’ notice); or
- (d) for any other reason, by giving you at least 30 days’ notice.
We’ll tell you why.
33.3 Closing it yourself
You can close your account at any time once we’ve paid you everything we owe you (clause 27). If you’re on a Campaign you haven’t posted for, you can leave it first (clause 8.6). Your duties for Approved Content you’ve posted, including the Minimum Live Period, continue.
33.4 Your money
Closing or suspending an account never takes away money that’s owed to you. When your account closes, for any reason, we’ll pay your Available Balance into your bank account once your tax and bank details are checked, less only what clause 17.5 allows us to recover. If your account closes while Content is in its Views Check, we’ll finish the check and pay the Fee if it’s due. If you can’t sign in, email [email protected] to arrange payment.
33.5 What ends
When your account closes, you can no longer use the Services. Your places on Campaigns where your Content hasn’t been posted close without a Fee. The exception is where we close your account under clause 33.2(c) or (d) after your Content became Approved Content: if you then post it as clause 12 requires and it passes the Views Check, we’ll pay the Fee. Clause 40.5 lists the clauses that continue.
34. Force Majeure
Brief72 isn’t liable for any failure or delay caused by events beyond its reasonable control that it couldn’t have prevented by taking reasonable precautions (for example, keeping its systems secure), including fire, flood, pandemic, war, terrorism, civil unrest, government action, strikes, internet or telecoms failures, platform outages and cyber-attacks. This doesn’t excuse us from paying money that’s due to you, although it may delay payment while the event lasts.
35. Changes to These Terms
35.1 How we change them
We may change these Terms to reflect changes in the law, our Services or our business. We’ll tell you about any change by email and in the App, and we’ll publish the new version with its date and a summary of what’s changed. If you ask, we’ll send you a copy of an earlier version.
35.2 Notice
A change that’s worse for you takes effect 14 days after we tell you about it, or later if we say so. A change that’s better for you, or that’s needed straight away to comply with the law or with a regulator’s or a platform’s requirements, can take effect sooner, and we’ll explain why.
35.3 Campaigns you’re on
Each Campaign stays on the version of these Terms that applied when you were accepted for it, unless a change is needed to comply with the law.
35.4 Accepting a new version
When we publish a new version, the App asks you to accept it when you next sign in (clause 1.2). If you don’t want to accept it, you can stop applying for Campaigns and close your account (clause 33.3) before it takes effect. If you keep using the Services after a change takes effect, the new version applies to you.
36. Limitation of Liability
36.1 What we never limit
Nothing in these Terms limits or excludes liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- our duty to pay you Fees, referral rewards and withdrawals that are due under these Terms; or
- anything else the law doesn’t allow to be limited or excluded.
36.2 Indirect losses
Subject to clause 36.1, we’re not liable to you for indirect or consequential losses, or for loss of profits, revenue, business, goodwill or opportunity, however they’re caused.
36.3 Our limit
Subject to clause 36.1, our total liability to you for everything else arising from these Terms is limited to the greater of: the total amounts we paid or owed you in the 12 months before the claim; and £1,000.
36.4 The App
The App is provided as it is and as available. Except where the law requires, we don’t promise that it’ll always be available or free of errors. This doesn’t affect our duty to provide the Services with reasonable care and skill.
36.5 Other people
We’re not responsible for what Advertisers, Posting Channels, banks or other third parties do, except where these Terms say we are.
37. Independent Business, Not Employment
37.1 You’re an independent business
You’re an independent business, providing services to Brief72. In particular:
- you choose which Campaigns to apply for, and you can say no to any of them;
- within the Campaign Brief, you decide how you make your Content, and you use your own equipment and accounts;
- you can work for anyone else, including other brands, platforms and agencies: there’s no exclusivity (a Campaign Brief can only ask you not to promote a direct competitor during that Campaign: clause 8.5);
- you’re responsible for your own tax and National Insurance (clause 19); and
- because you’re an independent business, you don’t get holiday pay, sick pay, a pension or other employment benefits from Brief72 or any Advertiser.
37.2 No promise of work
Brief72 doesn’t promise you any amount of work, and you don’t have to accept any.
37.3 No employment, partnership or agency
You’re not, and these Terms don’t make you, an employee, worker or agent of Brief72 or of any Advertiser, and these Terms don’t create a partnership or joint venture. You can’t make commitments on behalf of Brief72 or an Advertiser.
38. Transfer & Sub-Contracting
Brief72 may transfer these Terms, with all its rights and duties under them, to another business that takes over the Brief72 platform. You agree to that now. We’ll tell you at least 14 days before it happens, and if you don’t want to continue, you can close your account before then, and we’ll pay you everything we owe you (clause 33.4). We may use sub-contractors to help us run the Services, but we stay responsible for them.
You may not transfer, charge or sub-contract any of your rights or duties under these Terms without our written consent.
39. Notices
We’ll send notices to you by email, to your account’s email address, or in the App. They count as received when they’re sent, unless we find out they weren’t delivered. Send notices to us by email to [email protected], or by post to our registered office (clause 42).
40. Miscellaneous
40.1 Severability
If a court decides that part of these Terms can’t be enforced, the rest still applies. Where possible, that part applies with the smallest change needed to make it enforceable.
40.2 No waiver
If we don’t use a right under these Terms, or delay using it, we don’t give it up, and using a right once, or in part, doesn’t stop us using it again.
40.3 Entire agreement
These Terms, each Campaign Brief and the Referral Programme Terms are the whole agreement between you and Brief72 about the Services. Summaries on our website, in the App and in our emails (for example FAQs) are there to help, but if they differ from these Terms, these Terms apply. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
40.4 Third-party rights
An Advertiser can enforce clauses 20, 21 and 22, and clause 26 as far as it protects the Advertiser’s confidential information, in its own name under the Contracts (Rights of Third Parties) Act 1999. Brief72’s directors, staff and contractors can rely on clause 22. If you use a Brief72 mobile app from the Apple App Store, Apple can enforce clause 6.6. Nobody else can enforce these Terms. You and Brief72 can change or end these Terms, or any part of them, without the consent of an Advertiser or anyone else.
40.5 What continues after your account closes
Clauses 11.5, 12 (for Content you’ve posted), 13, 15.6, 16.1, 16.5, 17, 19, 20, 21, 22, 23, 26, 27, 29, 31, 32, 33.4, 33.5, 36, 37, 39, 40 and 41 continue after your account closes, and so does anything else that by its nature should.
41. Governing Law & Jurisdiction
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales can hear any dispute. If you live in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
